Terms and Conditions: Cleero App

Scope

These General Terms and Conditions govern the use of the Shopify app “Cleero – Payment Matching” (hereinafter “Cleero”) and apply to all users of the app.

Cleero is operated by ToastCode KLG, Bärenlochweg 2, 9465 Sennwald, Switzerland.

Any deviating terms of the user shall not apply unless their validity has been expressly agreed to in writing.


Subject Matter of the Contract

Cleero is a software-as-a-service solution (SaaS) that provides Shopify merchants with functions for the automated matching of incoming payments with orders.

The specific scope of functions is determined by the current service description in the Shopify App Store and within the app.


Conclusion of Contract

The contract is concluded when the user installs the app via the Shopify App Store and begins using it.

By installing the app, the user agrees to these Terms and Conditions.


Requirements for Use

Use of Cleero requires an active Shopify account as well as the technical requirements necessary for operating the app.

The user is responsible for ensuring that all data provided by them is correct, complete, and up to date.


Services Provided by Cleero

Cleero provides functions for the automated assignment and matching of incoming payments with orders.

Cleero does not owe any specific economic success. In particular, it is not guaranteed that all incoming payments can be assigned automatically, completely, or without errors, as this depends on external factors such as bank data, payment references, third-party providers, or technical conditions.


Third Parties and External Services

Cleero is operated within the Shopify platform. For payment data connectivity, Cleero uses external service providers, in particular Salt Edge.

The respective terms of these third parties apply to their services, availability, and data processing. ToastCode KLG assumes no liability for disruptions, outages, or restrictions caused by third parties.


User Obligations

The user undertakes to use Cleero exclusively within the framework of applicable laws and these Terms and Conditions.

The user is responsible for the secure storage of their access data and for all activities carried out through their account.


Prices and Billing

Use of Cleero is subject to a fee unless otherwise stated in the Shopify App Store.

Billing is carried out in accordance with the prices and billing periods shown in the Shopify App Store.

Payment processing is carried out exclusively via Shopify. In addition, Shopify's payment terms apply.


Term and Termination

The contract is concluded for an indefinite period.

The user may terminate the contract at any time by uninstalling the app via the Shopify App Store.

ToastCode KLG reserves the right to terminate the contract without notice for good cause.


Availability and Maintenance

ToastCode KLG strives to ensure the highest possible availability of Cleero, but does not guarantee uninterrupted or error-free use.

Maintenance work, updates, or technical disruptions may lead to temporary restrictions or interruptions.


Liability

ToastCode KLG is liable only for damages based on intentional or grossly negligent breach of duty.

In the event of slight negligence, ToastCode KLG is liable only in the case of a breach of material contractual obligations and limited to the foreseeable damage typical for the contract.

Liability for indirect damages, consequential damages, or loss of profit is excluded to the extent permitted by law.


Warranty

ToastCode KLG does not guarantee that Cleero will always be error-free, uninterrupted, or fully meet the user's individual requirements.

Statutory warranty rights remain unaffected insofar as they are applicable.


Data Protection

The processing of personal data is carried out in accordance with the Privacy Policy, which forms part of these Terms and Conditions and is available within the app and on the website.


Changes to the Terms and Conditions

ToastCode KLG reserves the right to amend these Terms and Conditions if this is necessary for legal, technical, or economic reasons.

Users will be informed of material changes in an appropriate manner.


Applicable Law and Jurisdiction

The substantive law of Switzerland shall apply բացառing the UN Convention on Contracts for the International Sale of Goods.

To the extent permitted by law, the place of jurisdiction shall be the registered office of ToastCode KLG.


Severability Clause

Should individual provisions of these Terms and Conditions be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
